SECTION 4

Description of the concentration

This notification concerns the following undertakings:

BAYWA GLOBAL PRODUCE GmbH (“BayWa”), Germany, controlled by BayWa AG.

NUFRI SOCIEDAD AGRARIA DE TRANSFORMACIÓN (“Nufri”), Spain, controlled by the Argilés Family.

BayWa and Nufri acquire, within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation, joint control of a newly created joint venture (the “JV”).

The concentration is accomplished by way of the purchasing of shares in a newly created joint venture.

The business activities of the undertakings concerned are:

a. The purpose of BayWa is the acquisition, holding, management and sale of investments in other companies, in particular in the area of trade, marketing and logistics for fruit and vegetables, fruit and vegetables wholesale and the construction and operation of climate-controlled greenhouses. BayWa is controlled by BayWa AG which is active in the following sectors through the different companies belonging to BayWa Group: agriculture, construction and landscaping, energy and the provision of services related to the aforementioned business areas.

b. for Nufri: Nufri is primarily engaged in the fresh fruit sector in which it carries out different activities. In particular, the production of fresh fruit (in particular, apples, citrus and blueberries), the conservation, handling and marketing of fresh fruit and the production of concentrated and creamed juices and their derivatives. Likewise, Nufri generates electricity through cogeneration, biomass and photovoltaic, which is mainly used for self-consumption (heat and cooling energy) and for commercialization to third parties.

c. for the JV: it will produce, grow, harvest, market and commercialize berries.
