Description of the concentration
This notification concerns the following undertakings:
• Warburg Pincus LLC (“Warburg Pincus”), USA, controlled by Charles R. Kaye.
• TJC LP (“TJC”), USA.
• iNRCORE LLC (“iNRCORE”) USA, currently controlled by affiliates of TJC.
Affiliates of Warburg Pincus and TJC will acquire, within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation, joint control of iNRCORE.
The concentration is accomplished by way of purchase of stock.
The business activities of the undertakings concerned are:
a) For Warburg Pincus: Warburg Pincus is a global private equity firm headquartered in New York, NY, United States. Its portfolio companies are active in a variety of sectors, including energy, financial services, healthcare and consumer, industrial and business services, and technology, media and telecommunications. b) For TJC: TJC is a private equity firm headquartered in New York, NY, United States. Its portfolio companies are active in a variety of sectors, including consumer and healthcare, logistics and supply chain, technology and telecommunications. For more information, please visit: www.tjclp.com/.
c) For iNRCORE: iNRCORE is active in the design, manufacture and sale of electronic components. Specifically, iNRCORE manufactures passive and electromechanical components, including magnetics, capacitors, resistors and filters. It is headquartered in the United States (where it is predominantly active), and operates facilities in the United States, Mexico, and China.
