SECTION 1.2
Description of the concentration
1. Ube Industries, Ltd. (Ube Industries) is a Japanese company incorporated in Ube, Yamaguchi Prefecture, Japan. Ube Industries is active in the manufacture and sale of chemicals, construction materials and machinery. Ube Industries operates a global network of plants and sales offices.
2. Mitsubishi Materials Corporation (Mitsubishi Materials) is a Japanese company incorporated in Tokyo, Japan. Mitsubishi Materials is active in the manufacture and sale of copper and copper alloy products, electronic materials and components, cemented carbide products and sintered parts, and cement and ready-mixed concrete, smelting, refining and sale of copper, gold and silver. Mitsubishi Materials also has energy-related, environmental, and recycling-related businesses. Mitsubishi Materials is active globally.
3. Ube Industries and Mitsubishi Materials have entered into an agreement for the establishment of a full-function 50/50 joint venture constituting a market-facing and autonomous cement business.
4. The Joint Venture will manufacture, process, sell, purchase, import and export cement and other ceramic products, civil engineering and construction materials. The Joint Venture’s activities will be focused on Japan, Asia Pacific and the United States (US). The Joint Venture will have its own personnel dedicated to the conduct of these activities.
