SECTION 1.2

Description of the concentration

1.1. The Commission has received notification of a proposed concentration under Article 4 of

Council Regulation (EC) No.139/2004 by which Ramsay Health Care Limited through its

wholly owned subsidiary Ramsay Health Care (UK) Limited and Groupe Crédit Agricole

S.A. through its wholly owned subsidiary Predica will acquire within the meaning of

Article 3(1)(b) of the Regulation (EC) N° 139/2004 joint control of Groupe Proclif

S.A.S., an existing undertaking operating private hospitals in France.

2.2. This notification is being submitted jointly by Ramsay and Predica.

3.3. The Parties’ activities are as follows:

-- Ramsay:

Operation of private hospitals and day surgery facilities in

Australia, Indonesia and the United Kingdom

-- Predica:

Insurance and financial services

-- Groupe Proclif:

Operation of private hospitals services in France
