Dear Sir or Madam,

(1) On 12 January 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, by which Mitsubishi Corporation (MC), Japan, Mitsubishi Fuso Truck and Bus Corporation (MFTBC), Japan, controlled by Daimler Truck Holding AG (DTHAG) and Mitsubishi Motors Corporation (MMC), Japan, controlled by Nissan Motor Co., Ltd will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of a newly created joint-venture by way of purchase of shares.( )

(2) The business activities of the undertakings concerned are the following:

– MC is a Japanese integrated trading company which develops and operates businesses globally across a variety of industries.

– MFTBC is a Japanese company which manufactures and supplies trucks, buses and industrial engines. DTHAG is a holding company for the larger Daimler Truck group.

– MMC is a Japanese multinational automobile manufacturer which manufactures and supplies passenger cars and light commercial vehicles.

(3) The business activities of the new joint-venture will be the establishment and operation of a comprehensive service platform for electric vehicles in Japan.

(4) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(a) of the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004. ()

(5) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
