SECTION 1.2
Description of the concentration
1.1. The proposed Transaction consists in the acquisition by EDF S.A. of sole control of Edison S.p.A., which is currently jointly controlled by EDF and A2A S.p.A. (through Transalpina di Energia S.r.l.).
2.2. The proposed Transaction follows the acquisition by EDF and A2A (previously AEM) of joint control of Edison, an operation which was cleared unconditionally by the Commission on 12 August 2005 (case COMP/M.3729).
3.3. The proposed Transaction would take place as part of the industrial reorganization of Edison.
