SECTION 1.2

Description of the concentration

1.On 15 June 2021, the Commission received a notification of a proposed concentration pursuant to which Standard Industries Holdings Inc. (“Standard Industries”) will acquire sole control over W. R. Grace & Co. (“Grace”).

2.Standard Industries is a global holding company with interests in the building materials industry. Standard Industries is mainly active in the manufacture and sale of commercial and residential roofing and other construction products. Standard Industries is headquartered in the United States.

3.Grace, through its subsidiaries, is engaged in the production and sale of a selection of specialty chemicals and materials on a global basis. Grace is headquartered in the United States.

4.The proposed concentration is notified pursuant to Article 3(1)(b) of Council Regulation (EC) No. 139/2004 on the control of concentrations between undertakings because it will lead to Standard Industries acquiring sole control of Grace.
