SECTION 1.2

Description of the concentration

1.The transaction concerns the proposed transfer of two Italian steel service centers of the Ilva Group located in Legnaro and Paderno Dugnano from sole control by ArcelorMittal to joint control by ArcelorMittal and the CLN Group.

2.ArcelorMittal is a global steel and mining company, whose principal business is the production, distribution, marketing, and sale of steel products.

3.CLN Group is an Italian steel processing company, active in the distribution of steel products through steel service centers, but mainly focused on the production of steel automotive components and steel wheels.

4.AMCLN is an Italian joint venture of ArcelorMittal and CLN Group, active in the distribution of steel products through steel service centers located in Italy.

5.Ilva SSCs are two Italian steel service centers located in Legnaro (close to Padua, in Veneto) and Paderno Dugnano (close to Milan, in Lombardy).
