SECTION 4
Description of the concentration
This notification concerns the following undertakings:
• Ardian France S.A. (Ardian, France) • Dedalus Healthcare Systems Group S.p.A. (DHSG, Italy, currently jointly controlled by HealthLux S.A. and Health Holding Company S.r.l.). DHSG is the holding company which holds, indirectly through Dedalus Holding 2 S.p.A. ("Dedalus Holding 2"), the entire share capital of Dedalus S.p.A. ("Dedalus" together with its subsidiaries, the "Dedalus Group")
HealthLux – currently exercising joint control over DHSG together with Health Holding Company S.r.l. (HHC) because of HHC veto rights for the approval of budget, business plan and investments provided for in DHSG By-Laws - acquires, within the meaning of Article 3(1), point (b) of the EUMR, sole control of DHSG. As a result, Ardian, ultimately controlling HealthLux, will acquire indirect sole control over DHSG.
The concentration is accomplished by way of purchase of shares and amendments to the By-Laws of DHSG. For completeness, the same amendments to DHSG By-Laws will also be reflected in the by-laws of some companies of the Dedalus Group (among which Dedalus Holding 2 and Dedalus).
The business activities of the undertakings concerned are:
a. for Ardian: private equity business engaged in the provision of investment management services to a number of investment funds.
b. for Dedalus: production and sale of software for the healthcare, medical, diagnostic and pharmaceutical market.
