SECTION 1.2

Description of the concentration

(1) The proposed transaction involves the acquisition by FrieslandCampina Nederland Holding B.V. of Zijerveld & Veldhuyzen B.V. and Den Hollander Food B.V., currently subsidiaries of Mijwo Beheer B.V. via a share transaction and after an internal restructuring within Mijwo Beheer B.V.

(2) FrieslandCampina is a multinational dairy company wholly owned by the dairy co-operative Zuivelcoöperatie FrieslandCampina U.A. It sells a broad range of dairy products to consumers, professional customers, the food industry and the pharmaceutical sector. For the current transaction it is relevant that FrieslandCampina is a producer of cheese.

(3) Zijerveld & Veldhuyzen B.V. and Den Hollander Food B.V. are active on a wholesale level in the cheese market. They provide value-adding services such as category consultancy in both the retail segment and in other downstream sales channels, storing and maturing, distribution of cheese to different downstream channels and other tailor-made packaging services.

(4) The proposed concentration involves the markets for cheese and for cheese packaging and related services.

(5) The economic and strategic rationale of the proposed concentration is to expand the range of products and services offered, while creating efficiency improvements. Through the concentration, FrieslandCampina will broaden its cheese portfolio offered to downstream customers and also increase its direct access to downstream customers.
