SECTION 1.2

Description of the concentration

On 25 January 2023, the European Commission received the notification of a proposed transaction pursuant to Art. 4 of Council Regulation (EC) No 139/2004 (“EUMR”) by which Geodis International SAS, a wholly owned subsidiary of Geodis S.A. (“Geodis”), intends to acquire sole control within the meaning of Article 3(1)(b) EUMR over trans-o-flex Express GmbH & Co. KGaA and of trans-o-flex Express Verwaltungs GmbH (together referred to as “trans-of-flex”) from M+P GmbH, LFH3 Verwaltungs GmbH and ALJ 2. Vermögensverwaltungsgesellschaft mbH by way of acquisition of shares.

The primary business activities of the undertakings concerned are as follows:

• Geodis, headquartered in France, is a wholly owned subsidiary of Société Nationale SNCF (“SNCF”), which in turn is wholly owned by the French state. Geodis is a logistics operator, offering management solutions across all or part of the logistics value chain.

• trans-of-flex, headquartered in Germany, provides national and, to a limited extent, international logistics and transportation services and operates logistics networks for express parcel and pallet delivery in Germany and Austria with a focus on temperature-controlled consignments.
