SECTION 1.2
Description of the concentration
The Proposed Transaction concerns the acquisition of 100% of the shares in and sole control over Doppler Energie GmbH (“Doppler”), Austria, by ORLEN S.A. (previously Polski Koncern Naftowy ORLEN S.A., “ORLEN”), Poland. Before implementation of the acquisition of the shares in Doppler, an internal re-organisation will take place, with the effect that Doppler’s current subsidiaries Doppler Gas GmbH, Turm Logistik GmbH, Eichstelle Doppler GmbH and Grazer Tankstellenbetriebs GmbH, all Austria, will not be acquired by ORLEN, but will be retained by Doppler’s current shareholders.
ORLEN is the ultimate parent of a capital group, which is an integrated, multi-utility enterprise that operates mainly in Central Europe, Norway and Canada. It is primarily active in the areas of oil refining and biofuels production, exploration and sales of gas, production of petrochemicals, production of electricity, wholesale and retail sales of motor fuels, retail sales of FMCG products, as well as hydrocarbons extraction.
Doppler operates a network of filling stations and electric vehicles (“EV”) charging stations across Austria (with the exception of its westernmost province of Vorarlberg) under the “Turmöl”, “Turmöl Quick” and “Turmstrom” brands. It operates the fuel card business called “Austrocard” accepted at more than 500 filling stations in Austria. Furthermore, Doppler is active in the wholesale of fuels and related products.
