Description of the concentration

Magna International Inc., Aurora, Canada (“Magna”) intends to acquire all shares in and thus sole control over GETRAG Getriebe- und Zahnradfabrik Hermann Hagenmeyer GmbH & Cie KG, Untergruppenbach, Germany (“GETRAG”). Magna is a global automotive supplier with manufacturing operations and product development, engineering and sales centers in 29 countries. Its product capabilities include producing body, chassis, exterior, seating, powertrain, electronic, vision, closure and roof systems and modules, as well as complete vehicle engineering and contract manufacturing. GETRAG is a supplier to the automotive industry which specializes in the design, development, manufacture and supply of transmission systems for passenger cars, LCVs and motorcycles. Its customers are OEMs primarily located in Europe as well as in Asia and North America. The business associated with the intended acquisition primarily relates to the development and manufacture of transmissions.
