SECTION 1.2

Description of the concentration

On 20 February 2019, the Commission received notification of a proposed concentration pursuant to which Sika AG will indirectly acquire sole control over Financière Dry Mix Solutions SAS and its subsidiaries ("Parex").

The business activities of the Parties are the following:

-− Sika Group develops and produces high-quality concrete admixtures, mortars, sealants and adhesives, damping and reinforcing materials, structural strengthening systems, industrial flooring as well as roofing and waterproofing systems which are used in the building sector and by manufacturing industries.

-− Parex Group is mainly active in the production and commercialization of mortar products used in the construction industry. Parex' products fall into three business lines: (i) façade protection and decoration (comprising façade renders and External Thermal Insulation Composite Systems (ETICS)), (ii) ceramic tile-setting materials (such as tile adhesives, self-levelling compounds, or tile grouts), and (iii) concrete repair and waterproofing systems (such as technical products used on existing concrete works).
