SECTION 1.2

Description of the concentration

On 10 June 2022, the European Commission received the notification of a proposed concentration by which Renaissance Investissement, which is controlled by CVC Capital Partners SICAV-FIS SA (CVC, which has its headquarters in Luxembourg), and Ligue De Football Professionnel (LFP, which has its headquarters in France) (together, the Parties), would acquire joint control pursuant to Article 4(2) of the Council Regulation (EC) 139/2004 of Filiale LFP 1 (MediaCo, which has its headquarters in France) (the Proposed Transaction). The Proposed Transaction has an EU dimension under Article 1(2) of the EU Merger Regulation.

The primary business activities of the undertakings concerned by the notified concentration are as follows:

(a) For CVC Network: the provision of advice to and management of investment funds with interests in a number of companies active in a variety of industries around the world, primarily in Europe, the US and the Asia-Pacific Region.

(b) For LFP: a French sports association which is made up of the 45 French professional football clubs, and is responsible for, pursuant to French law and by delegation of Fédération Française de Football, the organisation, management, regulation, promotion, and commercialisation of the two professional men’s football leagues in France; Ligue 1 Uber Eats and Ligue 2 BKT, and the Trophée des Champions.

(c) For MediaCo: the operation of all commercial activities of LFP in France and internationally, which includes the marketing and management of all audio-visual and non-audio-visual exploitation rights of the matches, events, and competitions that LFP organises.

The Proposed Transaction qualifies for simplified treatment pursuant to paragraphs 5(c)(i)-(ii) of the Commission Notice on simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.
