SECTION 1.2
Description of the concentration
This notification concerns the proposed acquisition of sole control by Dassault Systèmes of IBM's Dassault Systèmes PLM Software business ("IBM DS").
Dassault Systèmes and its subsidiaries are active primarily in the development and sale of Product Lifecycle Management ("PLM") software solutions.
IBM DS is a discrete business within IBM which distributes Dassault Systèmes PLM products and
provides related support services. The transaction concerns the vertical integration into Dassault
Systèmes of the downstream distribution function currently provided by IBM DS in respect of
Dassault Systèmes PLM products. IBM DS only distributes Dassault Systèmes software products.
