SECTION 1.2

Description of the concentration

1.1. Al Safi Danone, a Saudi company controlled by the Danone group, and NDL International, a French company controlled by the Norbert Dentressangle group, are notifying the creation of a full function joint venture to the Commission. Al Safi Danone is incorporated in Saudi Arabia and it produces and distributes fresh dairy products, juices, desserts, and milk in the Middle East. NDL International is a holding company with participations in the area of logistics services.

2.2. The joint venture will take the form of a company incorporated in Saudi Arabia, to which Al Safi Danone will contribute an existing logistics and food wholesale activity located in the Middle East and Norbert Dentressangle will contribute know-how relating to logistics services. The joint-venture will be exclusively active in the sector of logistics services and the sale of food products in the Middle East. It will not have any activities within the EEA territory.
