SECTION 1.2
Description of the concentration
The notified transaction relates to the acquisition by an indirect subsidiary of Promontoria Holdings IV B.V. of sole control of FW No. 4 Limited and thereby the operating companies of the Focus DIY Group.
Promontoria Holdings IV B.V. is part of the Cerberus Group. The Cerberus Group is engaged in investment in real property and personal property of all kinds, including, but not limited to, capital stock, depository receipts, investment companies, mutual funds, subscriptions, warrants, bonds, notes, debentures, options and other securities of different kinds and nature in diverse industries world-wide.
The Focus DIY Group is active in the UK in the sale of repair, maintenance and improvements products for the home and, in particular, in the do-it-yourself or DIY retail segment and, as at 30 April 2007, had 257 operational stores located across the UK.
