SECTION 1.2

Description of the concentration

1.Danish Crown AmbA is a Danish cooperative slaughterhouse company and has a total of 10,685 (2008/09) members, who supply raw materials - pigs and cattle - to the cooperative. Danish Crown is vertically integrated in the slaughtering of pigs and cattle, meat processing and meat trading. Danish Crown is based in Denmark but has activities worldwide.

2.D&S Fleisch GmbH is a German slaughterhouse company active in the pig meat segment comprising two abattoirs, at which approximately 3.2 million pigs are slaughtered annually. The company sells its products as fresh meat.

3.Subject among others to competition authority clearance an agreement was signed by the Parties October 2nd 2010 according to which Danish Crown (through Globe Meat Handels GmbH) will acquire 100 % ownership and sole control of the Business.

4.The product markets involved in the transaction are various markets related to slaughtering and production and sales of fresh meat. In terms of geographic markets, the main but small overlaps will be on the downstream market in Germany, where the Business achieves the majority of its turnover.
