SECTION 1.2
Description of the concentration
The proposed transaction concerns the acquisition of joint control of Phoenix Wind Repower, LLC (“Phoenix”) by funds within the UBS AG (“UBS”) and Ares Management Corporation (“Ares”) groups, within the meaning of Article 3(1)(b) of the Merger Regulation, by way of an indirect purchase of shares by UBS. Phoenix is a full-function entity owning and operating wind farms in Texas (USA) and is currently solely controlled by Ares.
