SECTION 1.2
Description of the concentration
(1) This precautionary notification concerns Fosun International Limited ("Fosun") potentially obtaining passively de facto control over Tom Tailor Holding SE ("Tom Tailor") resulting from reduced attendance rates at Tom Tailor's past annual shareholders' meetings.
(2) Fosun is part of a Chinese group with activities focusing on three eco-systems Health, Happiness and Wealth. In details, the Health Ecosystem includes three major segments: Pharmaceutical, Medical Services & Health Management and Health Products; the Happiness Ecosystem includes three major segments: Tourism & Leisure, Fashion and Consumer & Lifestyle; and the Wealth Ecosystem includes three major segments: Insurance and Finance, Investment and Hive Property.
(3) Tom Tailor is a German fashion group that mainly offers classic and modern casual wear for men, women and children.
