Subject: Case No COMP/M.2660 ñ NPM/ABN AMRO/Norit Personal Care Holding

Notification of 7 November 2001 pursuant to Article 4 of Council Regulation (EEC) No. 14064/89 Publication in the Official Journal of the European Communities No. C 322, 17.11.2001, p.23.

1.1. On 7.11.2001, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EEC) No 4064/89 by which the undertakings ABM AMRO Participaties B.V. , the Netherlands, belonging to the group ABM AMRO Bank N.V., and NPM Capital N.V., the Netherlands, controlled by SHV Holding N.V., acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Norit Personal Care Holding B.V., belonging to the group Norit N.V., by way of purchase of shares.

2. The business activities of the undertakings concerned are :

-- for ABN AMRO Participaties B.V.: venture capital and private equity investment;

-- for NPM Capital N.V.: development of capital for family-owned, high tech and life sciences companies, management buy-outs, buy-ins and investor's buy-outs;

3.3. After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EEC) No. 4064/89 and of paragraph 4, subparagraph c, of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EEC) No 4064/89.

4.4. For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of Council Regulation (EEC) No. 4064/89.
