Dear Sir or Madam,

1.On 14 April 2023, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, by which the undertakings KBR Services, LLC (US), ultimately controlled by Kellogg Brown & Root Services, Inc.(US), and Tier One Relocation, LLC (US), ultimately controlled by Sun Capital Partners, Inc.(US), will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control over the whole of the undertaking HomeSafe Alliance, LLC (US) by way of purchase of shares.

The business activities of the undertakings concerned are the following:

-− KBR Services offers a variety of logistics services to US Government customers. It is controlled by KBR that provides comprehensive science, technology, and engineering solutions to governments and commercial customers worldwide.

-− T.O. specializes in door-to-door household moving services for the military. It is controlled by Sun Capital, a private investment firm focused on leveraged buyouts, equity, debt and other investments in several industries worldwide.

3.The business activities of HomeSafe are the following: movement of household goods for members of the U.S. military and employees of the U.S. government.

4.After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(a) of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.

For the reasons set out in the Notice on a simplified procedure, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
