Dear Sir or Madam,

1.(1) On 2 August 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, by which the undertakings ADNOC Drilling Company P.J.S.C. (“ADRILL”, United Arab Emirates) belonging to the Abu Dhabi National Oil Company Group (“ADNOC Group”, United Arab Emirates), and Alpha Dhabi Holding P.J.S.C. (“ADH”, United Arab Emirates), will acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of the undertaking Gordon Technologies, 3L.L.C. (“Gordon”, United States of America) by way of purchase of shares. ()

(2) The business activities of the undertakings concerned are the following:

–– ADRILL is an onshore and offshore drilling and oilfield service operator, forming part of the ADNOC integrated network of businesses operating across the value chain and provides drilling services (onshore & offshore) and oil field services to ADNOC Group companies,

–– ADH is an investment company based in Abu Dhabi, with holding companies operating in healthcare, renewable energy, petrochemicals, and various other industries, including real estate, construction, and hospitality,

–– Gordon is a provider of the Measurement While Drilling and at a much smaller scale some of the Logging While Drilling technologies to the oil and gas industry.

3.(3) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(a) of the Commission Notice on a simplified treatment for certain 4concentrations under Council Regulation (EC) No 139/2004. ()

(4) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
