SECTION 1.2
Description of the concentration
1.1. The notified concentration involves the proposed acquisition by funds managed by Bain Capital Investors, L.L.C. (“Bain Capital”) and by funds managed by Cinven Capital Management (VI) General Partner Limited (“Cinven”) of joint control of STADA Arzneimittel AG (“STADA”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.
2.2. Bain Capital is a private equity investment firm that invests, through its family of funds, in companies across most industries, including information technology, healthcare, retail and consumer products, communications, financial and industrial/manufacturing.
3.3. Cinven is an international private equity firm focused on building world-class European and global companies. Funds managed by Cinven invest in companies with a European focus in six key sectors: Business Services, Consumer, Financial Services, Healthcare, Industrials, and Technology, Media and Telecommunications (TMT).
4.4. STADA is active in the development, manufacture, registration, sale, commercialization, distribution and promotion of life science products such as pharmaceutical drugs, food supplements, cosmetic products (and related activities) and other medical products. In particular, it offers generic pharmaceutical products including selected biosimilars, and has also built a range of branded products, including the cold medicine Grippostad® and the Ladival® range of sun protection products.
5.5. STADA is, inter alia, listed on the Frankfurt Stock Exchange.
