SECTION 1.2

Description of the concentration

1. Daimler AG is a publicly listed company engaged in the manufacturing and sales of premium cars and commercial vehicles, as well as the provision of automotive financial services including financing, leasing, insurance and fleet management. OJSC Kamaz is a publicly listed company engaged in, inter alia, the manufacturing and sales of trucks, trailers, chassis, engines, power units, multifunctional armored vehicles, as well as tools and spare parts for cars.

2. Daimler and Kamaz agreed to merge the two currently independent joint ventures, MBTV and FKTR, and to extent the operations of the new entity in order to produce Mercedes-Benz and Kamaz cabins in Russia and to find a concept to integrate the after sales and spare parts business of Evobus into the new MBTV. The new entity will not extend its operations beyond Russia and Belarus, in particular not into the EEA.
