1.1. On 11 June 2019, the European Commission received notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of the Merger Regulation by which the undertakings Sogeclair S.A. (‘Sogeclair’, France), belonging to the Sogeclair Group, and AddUp S.A.S. (‘AddUp’, France), belonging to the Michelin and Fives Groups, acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control of a newly created company constituting a JV (‘PrintSky’) by way of purchase of shares.
2. The business activities of the undertakings concerned are:
- for Sogeclair: aeronautics and space engineering, engineering for the specification design and production of special civilian and military vehicles, and provision and development of solutions in the field of research, study and training simulators, as well as workshops and simulation software. Sogeclair is active worldwide, mainly in France, Germany, Spain, the United Kingdom, Canada and the United States;
- for AddUp: manufacture of industrial 3D metal printing solutions ranging from the design and manufacture of machines, manufacturing lines and services associated with, to the redesign and manufacture of metal parts, in prototyping or series and associated services. It operates worldwide (mainly in France,

3.3. After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(a) and 5(c) of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.
4.4. For the reasons set out in the Notice on a simplified procedure, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
