SECTION 1.2

Description of the concentration

The Transaction will entail the acquisition by SIAS – Societa Iniziative Autostradali e Servizi S.p.A.: ("SIAS") of a joint control stake from Atlantia S.p.A. Group (Atlantia) in five Chilean companies owned by Atlantia Group through ASPI.

In particular, following to the implementation of the notified transaction:

-- Sociedad Concesionaria Autopista Nororiente S.A. and Gestión Vial S.A. will be jointly controlled by ASPI and SIAS.

-- Sociedad Concesionaria Litoral Central S.A., Sociedad Concesionaria Autopista Vespucio Sur S.A. and Sociedad de Operación y Logística de Infraestructuras S.A. will be jointly controlled by ASPI, SIAS and Group Acciona.

The target companies are active in the sector of toll motorways management in Chile as well as in the provision of ancillary services to toll motorways exploitation. All the activities of the target companies are limited to Chile.
