SECTION 1.2

Description of the concentration

On 17 October 2006, the Commission received a notification of a proposed concentration

pursuant to Article 4 of Council Regulation (EC) No. 139/2004, by which American International

Group Inc (ìAIGî), and Global Infrastructure Partners - A, L.P. ("GIP") will acquire joint control

over Stratfield Limited (ìStratfieldî).

GIP is jointly controlled for merger control purposes by GE, a company with interests in

diversified technology and services, Credit Suisse Group, a global financial services institution

and Global Infrastructure Management Participation LLC, a holding company.

The business activities of the undertakings concerned are respectively:

AIG: insurance and insurance-related activities.

2.

GIP: investing in equity and equity-related investments in infrastructure and

infrastructure-related assets.
