1.1. The Commission has received notification of a proposed transaction pursuant to which funds and accounts advised and or managed, directly or indirectly, by Strategic Value Partners, LLC and its affiliates (together “SVP”) will acquire sole control, within the meaning of Article 3(1)(b) of the EU Merger Regulation, over Pfleiderer Group S.A. (“Pfleiderer”) by way of a public tender offer.
2.2. Strategic Value Partners, LLC is a privately owned investment firm that manages two fund programs: a hedge fund vehicle and the Special Situations funds which are hybrid private equity funds and invest in public and private equity markets, debt markets and other alternative investment markets world-wide.
3.3. Pfleiderer is a building materials company, listed on the Warsaw Stock Exchange, with its headquarters in Poland.
4.4. Pfleiderer produces a range of engineered wood and surface finished products including chipboard (including melanine faced chipboard (“MFC”)), fibreboard (including medium density fibreboard (“MDF”) and high density fibreboard (“HDF”)), particleboard and laminates (including high pressure laminate (“HPL”)). These products have a variety of uses, including the production of worktops/work surfaces, furniture, interior finishes, general building applications and flooring.
